Terms and Conditions

These Terms & Conditions ("Terms") are a legally binding agreement between you and Lotus Scientific Solutions (also operating under the LotusFlowAI brand) ("Company", "ChargeHive EV", "ChargeHive", "we", "us", "our"), governing your access to and use of the ChargeHive EV ecosystem.

These Terms are published in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (the "IT Rules 2021"), the Indian Contract Act, 1872, the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, and other applicable Indian law. They incorporate by reference the Privacy Policy, Cancellation and Refund Policy, and Shipping and Delivery Policy.

By downloading, accessing, registering for, activating, or using any part of the Services, or by ticking the acceptance checkboxes at sign-up or dealership activation, you agree to be legally bound by these Terms and the Privacy Policy. If you do not agree, you must not use the Services.

1. Definitions

  • Services / Platform: the ChargeHive EV mobile and web app; the invite-only ChargeHive EV Social Platform; the Dealership Suite; the Sales Representative and Distributor apps; the God, Super, and Admin dashboards; the website(s); and all related features, subscriptions, and communications.
  • User: any person who registers for or uses the Services.
  • Guest: a user who searches for and uses charging points.
  • Host: a user who lists a private or home EV charging point.
  • Master User: a user with both Host and Guest privileges and, where applicable, Social Platform and verification eligibility.
  • Member: a user of the invite-only Social Platform.
  • Dealership / Dealer: a partner business that enrolls customers into ChargeHive plans.
  • ERA: Emergency Roadside Assistance, fulfilled by independent third-party vendors.
  • Subscription: paid, time-limited access to ChargeHive features.
  • Session: a charging interaction between a Host and a Guest.
  • Content: any text, image, video, audio, listing, review, or other material submitted through the Services.
  • Company: Lotus Scientific Solutions.

2. Nature of the Platform

2.1 ChargeHive EV is an EV technology ecosystem comprising four principal offerings and their supporting apps:

  • Peer-to-peer charging — a discovery-and-connection platform where Hosts list chargers and Guests find, book, and use them
  • Emergency Roadside Assistance (ERA) — a facility to request roadside help, routed to independent third-party vendors who perform the physical service
  • Invite-only Social Platform — a members-only community for posts, short video, messaging, discovery, jobs, sponsored content, and verified badges, where ChargeHive acts as an intermediary hosting user Content
  • Dealership program — activation and servicing of ChargeHive plans purchased through partner dealerships

2.2 ChargeHive EV does not provide EV charging services or supply electricity; own, operate, or maintain charging equipment; process host-guest charging payments; perform the physical roadside service; or guarantee charging or roadside availability, safety, or outcomes.

2.3 All charging transactions, pricing, payments, and agreements occur directly between Hosts and Guests. Supporting apps are used by our staff and partners under a role hierarchy (super admin, admin, sales rep / distributor, customer).

3. Eligibility

3.1 You must be at least 18 years old and legally competent to contract under the Indian Contract Act, 1872.

3.2 By registering you represent that you are 18 or older, can enter a binding agreement, and that all information you provide is accurate, current, and complete.

3.3 Access to the Social Platform is invite-only and further restricted to eligible users (for example approved invitees, active Master Control subscribers, active dealership-plan members, or invited influencers or businesses).

4. Accounts, Registration & Security

4.1 You must create an account to access most Services, using email/password or a supported social sign-in (Google, Facebook).

4.2 You are responsible for maintaining the confidentiality of your credentials, all activity under your account, and keeping your information accurate.

4.3 Notify us immediately of any unauthorised use. We are not liable for loss arising from unauthorised access caused by your failure to safeguard your credentials.

4.4 One account per role unless we permit otherwise. Impersonation, fake accounts, and buying, selling, or transferring accounts are prohibited.

5. Consent, Privacy & Communications

5.1 Your use of the Services is subject to the Privacy Policy. You must give the required consents to use the core Services.

5.2 You consent to receive service, transactional, and safety communications. Marketing communications are optional and sent only if you opt in.

5.3 You are responsible for any personal data of third parties you provide, and confirm you have the right to share it.

6. Subscriptions, Plans & Fees

6.1 Parts of the Services operate on a subscription model. Plans may include Guest, Host, Master (Master Control), and Dealership plans, billed monthly, quarterly, or yearly, or bundled through a dealership purchase.

6.2 Subscription fees grant access to platform features only. They do not include the cost of electricity or charging, ERA service charges, or third-party fees.

6.3 Prices, inclusions, and taxes (including GST) are shown before purchase and may change prospectively.

6.4 Subscriptions may auto-renew unless cancelled before the renewal date through the relevant app store or payment provider. You are responsible for managing renewals.

6.5 The Cancellation and Refund Policy applies to all subscriptions and is incorporated by reference.

7. Payments, Billing & Taxes

7.1 Subscription and in-app payments are processed by authorised third-party providers — Stripe, Razorpay, Google Play Billing, and/or the Apple App Store. We do not store your full card or bank details.

7.2 Where applicable, ChargeHive charges GST and issues tax invoices (for example on ERA orders and dealership plans).

⚠️ Direct payments between users

Host-guest charging payments are settled directly between users (for example cash or UPI). ChargeHive does not collect, process, hold, guarantee, or refund these payments, and merely displays the pricing a Host sets. Any dispute over a charging payment is solely between the Host and the Guest.

7.3 ERA payments consist of the vendor's base price, applicable GST, any service charge (plus its GST), and any optional tip you choose, shown before you confirm.

7.4 Social Platform payments (verified badges, advertising, sponsored content) are processed via Razorpay under the applicable in-product terms.

7.5 Subscription and access fees are non-transferable. Refund eligibility is governed by the Cancellation and Refund Policy and, where applicable, app-store and payment-provider policies and Indian consumer law.

8. Peer-to-Peer Charging Terms

8.1 ChargeHive is a facilitator and technology platform. It does not provide EV charging services, own or maintain equipment, control electricity supply, or guarantee availability, quality, safety, or outcomes.

8.2 Host responsibilities — ownership of, or lawful authority to offer, the charger; electrical safety and maintenance; property, society, or landlord permissions; compliance with local electricity, safety, and regulatory requirements; accurate pricing and availability; truthful listings; and determining and complying with any applicable taxes, GST, invoicing, and permits (see the Host Terms).

8.3 Guest responsibilities — verifying charger and connector compatibility; using equipment safely; making timely, agreed payment directly to the Host; respecting the Host's property and rules; and following all safety instructions.

8.4 Sessions may be pre-booked or on-demand. Hosts may set availability, pause or activate chargers, and accept or reject requests. Guests may cancel before the start time. Session timers are for tracking convenience only and do not guarantee energy delivered.

8.5 ChargeHive is not a party to Host-Guest transactions or disputes. Users must resolve disputes between themselves; we may provide reporting tools but are not obliged to intervene.

9. Emergency Roadside Assistance (ERA) Terms

9.1 ERA connects you with independent third-party roadside vendors. ChargeHive does not itself perform towing, repair, battery, tyre, or other roadside services and does not employ the technicians.

9.2 To request ERA you must share your precise location, contact number(s), vehicle details, and a description of the issue, which are provided to the assigned vendor and technician so they can reach you. Incorrect location or details may delay or prevent service.

⚠️ No guarantee of response

Estimated response and arrival times are indicative only and depend on vendor availability, distance, traffic, weather, and other factors. ChargeHive does not guarantee that a vendor will be available, accept, arrive within any time, or resolve your issue. In a life-threatening emergency, contact the public emergency services (for example 112) first.

9.3 ERA charges (base price, GST, service charge, service GST, and any optional tip) are shown before confirmation; GST invoices are issued where applicable. Tips are voluntary and paid to the provider.

9.4 You may cancel an ERA order per the in-app flow; charges already incurred or work already dispatched may not be refundable.

9.5 The vendor and technician are solely responsible for the manner, safety, quality, and outcome of the physical service, and for compliance with the Motor Vehicles Act and other applicable law. Any dispute about the service, damage, or conduct is primarily between you and the vendor.

10. Invite-Only Social Platform Terms

10.1 The Social Platform is invite-only. You may create a profile only if your email is an approved invitation entry or you are otherwise eligible. We may revoke access for breaches of these Terms or the Community Guidelines.

10.2 For Content posted by users, ChargeHive is an intermediary and does not initiate, select the receiver of, or modify user Content. We publish these Terms, the Privacy Policy, and the Community Guidelines as our rules and operate a Grievance Officer mechanism as required by the IT Rules 2021.

10.3 Your Content and licence — you retain ownership of the Content you create. By posting, you grant ChargeHive a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt (for example compress or transcode for delivery), publish, display, and distribute that Content to operate, promote, and improve the Services. This licence ends when you delete the Content or your account, except for copies retained for legal, safety, or backup purposes and Content subject to an ongoing report.

10.4 Content standards — you must not post Content that is unlawful, defamatory, obscene, pornographic, paedophilic, or invasive of privacy; harmful to a child; infringing; deceptive or impersonating; that threatens the unity, integrity, defence, security, or sovereignty of India, friendly foreign relations, or public order, or incites any cognisable offence; that promotes money laundering or gambling; that contains malware; or that violates any law for the time being in force. This mirrors Rule 3(1)(b) of the IT Rules 2021.

10.5 We may review, moderate, restrict, remove, or restore Content, and we operate community reporting and automatic threshold-based takedown. On a valid grievance or a court or government order we act within the timelines required by the IT Rules 2021.

10.6 Nearby discovery (via location, Bluetooth, or NFC) is opt-in; you control your discoverability and must not use it to stalk, harass, or harm others.

10.7 Job listings, applications (including résumés), advertisements, sponsored content, and verified or paid badges are subject to the applicable in-product terms. Sponsored or dealership-promoted content must be clearly labelled. You are responsible for the accuracy and lawfulness of anything you submit.

11. Dealership Program Terms

11.1 Partner dealerships enroll EV buyers, record contact, address, and vehicle details, issue a GST invoice, and publish a limited activation directory record. The dealership is responsible for the accuracy and lawful collection of the data it enters.

11.2 A dealership-enrolled customer activates the plan in the app using the email given at purchase. On activation, a one-year plan is provisioned, including charging access, ERA eligibility, Social Platform eligibility (on request or approval), and a verified badge.

11.3 The dealership is an independent business, not ChargeHive's agent. ChargeHive is not responsible for a dealership's sales conduct, promises, showroom pricing, or vehicle sold.

11.4 Dealership plans are tied to the enrolled customer and are non-transferable. A cancelled dealership plan cannot be activated.

12. Acceptable Use

You agree not to use the Services for any unlawful, fraudulent, or harmful purpose; violate any law, third-party right, or these Terms; upload malware or attempt to breach, probe, or disrupt the Services or their security; scrape, harvest, or bulk-extract data (including user lists, emails, or the invitation directory); reverse engineer or copy the Services except as permitted by law; misrepresent your identity or eligibility; interfere with other users' use or safety; resell or commercially exploit the Services without authorisation; or circumvent fees, invite-only gating, or moderation.

13. Intellectual Property

13.1 The Services, including all software, design, text, graphics, logos, and trademarks ("ChargeHive EV", "ChargeHive", "LotusFlowAI"), excluding user Content, are owned by or licensed to Lotus Scientific Solutions and protected by law.

13.2 We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You may not copy, modify, distribute, sell, lease, or create derivative works except as expressly permitted.

13.3 You retain ownership of your Content, subject to the licence in Section 10.3, and represent that it does not infringe any third-party right. If you believe Content infringes your rights, contact the Grievance Officer.

14. Third-Party Services

The Services integrate or link to third-party services (payments, maps, sign-in, dealerships, advertisers, and cloud providers). We do not control and are not responsible for third-party services, their content, terms, or privacy practices. Your use of them is at your own risk and subject to their terms.

15. Disclaimers & Warranties

15.1 The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, except those that cannot be excluded under law (including applicable rights under the Consumer Protection Act, 2019).

15.2 We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any Host, Guest, charger, vendor, or outcome will meet your expectations. Ratings, reviews, market-rate suggestions, and listings are informational and set by users.

16. Limitation of Liability

16.1 To the maximum extent permitted by law, ChargeHive, Lotus Scientific Solutions, and their directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, data, goodwill, or business, arising from or related to your use of (or inability to use) the Services.

16.2 We shall not be liable for personal injury or property damage; electrical faults, fire, or equipment damage during charging; charging failures or unavailability; the acts, omissions, safety, conduct, or outcomes of Hosts, Guests, ERA vendors or technicians, or dealerships; disputes or payments between users; user Content; or data loss despite reasonable safeguards.

16.3 To the extent liability cannot be excluded, our aggregate liability for all claims relating to the Services shall not exceed the total subscription or platform fees you paid to ChargeHive in the three (3) months preceding the event, or INR 5,000, whichever is lower.

16.4 Nothing in these Terms excludes liability that cannot lawfully be excluded, including for gross negligence, wilful misconduct, or matters under mandatory consumer law.

17. Indemnification

You agree to indemnify, defend, and hold harmless ChargeHive, Lotus Scientific Solutions, and their affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your Content, your breach of these Terms or applicable law, your interactions or transactions with Hosts, Guests, vendors, dealerships, or other users, or your infringement of any third-party right.

18. Suspension & Termination

18.1 You may stop using the Services and delete your account at any time via the in-app Privacy Center.

18.2 We may suspend, restrict, or terminate your access, with or without notice, for breach of these Terms, the Community Guidelines, or applicable law; fraud, abuse, misrepresentation, or safety risk; misuse of the Platform, roles, or invite gating; non-payment; or as required by law.

18.3 On termination, your licence to use the Services ends and access to paid features may cease. Subscription fees are non-refundable on termination for cause. Surviving provisions continue.

19. Grievance Redressal

In compliance with the IT Rules 2021, the Consumer Protection (E-Commerce) Rules 2020, and the DPDP Act, complaints regarding the Services, Content, transactions, or personal data may be sent to the Grievance Officer. We acknowledge grievances within the timeframe required by law and resolve them within the statutory timelines, including expedited handling of unlawful-content complaints on the Social Platform. You also retain your rights under the Consumer Protection Act, 2019.

20. Force Majeure

We are not liable for any failure or delay due to events beyond our reasonable control, including power or network outages, internet or telecom failures, cloud or provider outages, cyber-attacks, natural disasters, epidemics or pandemics, strikes, war, terrorism, or acts of government or regulatory authorities.

21. Governing Law, Jurisdiction & Dispute Resolution

21.1 These Terms are governed by and construed in accordance with the laws of India.

21.2 Subject to 21.3, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

21.3 The parties will first attempt to resolve any dispute amicably by contacting the Grievance Officer. If unresolved within 30 days, the dispute may, at the Company's election, be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Hyderabad, conducted in English. This does not limit a party's right to seek urgent interim relief, or a consumer's rights under the Consumer Protection Act, 2019.

22. General

  • We may amend these Terms to reflect changes in the Services or law. Material changes will be notified and continued use after the effective date constitutes acceptance.
  • If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
  • Our failure to enforce any right or provision is not a waiver of it.
  • You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or reorganisation.
  • These Terms, together with the Privacy Policy and related policies, constitute the entire agreement between you and us regarding the Services. English prevails in case of translation conflict.
